Terms of Reference for Legal Advisory Services

1. Introduction

Johanniter-Unfall-Hilfe e.V. Somalia branch wishes to contract qualified, experienced lawyers or legal firms (the “Consultant”) on a retainer basis to advise the Organization in the performance of its functions and the discharge of its duties in accordance with prevailing laws and regulations (the “Services”).

Johanniter’s requirements for legal advice are varied and will necessitate working with a wide range of stakeholders both internally and externally. We would like to identify a firm with whom Johanniter Somalia can call on to work on specific assignments as and when needed.

2. About Johanniter

Johanniter-Unfall-Hilfe was founded in 1952, and is represented by 9 national and approximately 300 regional and local associations throughout the Federal Republic of Germany. Johanniter-Unfall-Hilfe is a chapter of the Johanniter Order and a registered association in accordance with German legislature. Besides domestic obligations (like Emergency Medical Services, Civil Protection, and social services) the statutory duties and responsibilities of Johanniter also include international humanitarian assistance.

In its international humanitarian work, Johanniter is committed to act responsibly and fair. Together with donors, colleagues and project partners, we approach different cultures and populations with respect, integrity and commitment. Our highest priority is to act according to the needs of the most vulnerable people. We mainly focus on three areas of work: primary health care, disaster response and preparedness, and livelihoods. We aim to improve the living conditions of people in distress in the short, mid and long term. To this end, we use our resources carefully and with foresight and we consider the social, economic and ecological consequences of our assistance. We are committed to the principles of accountability and transparency towards our donors and partners. We continually assess whether our structures and processes can be improved. 3. Scope of work

The scope of work includes tasks that may be requested as part of ongoing support or for specific one-off assignments or transactions.

1. Provide legal and advisory opinion or guidance on Somalia labour and employment law and any other related topics when required or when requested.
2. Review and advise on the legal status of Johanniter with the appropriate offices.
3. Review and endorse all new and existing documents prepared by Johanniter Somalia, including but not limited to service contracts, employee contracts, as well as amendments and extensions to such contracts and agreements, memorandums of understanding and non-disclosure agreements, in accordance with prevailing laws and regulations.
4. Ensure the legal form and contents of all documents prepared and signed by Johanniter are correct.
5. Provide legal assistance in the process of contract negotiations, legal endorsement of performance guarantees or any other guarantee and signing of contract.
6. Provide legal assistance against any litigation arising out of its daily business affairs or during contract, grant, or investment administration.
7. Represent and defend Johanniter before Courts of Law including but not limited to labour courts, tribunals and for cases filed by Johanniter Somalia against contractors, suppliers, grantees, sub- contractors, employees or by the same against Johanniter.
8. Interact on behalf of Johanniter with relevant government authorities as and when required about contractual, commercial, corporate and legal matters.
9. Provide legal assistance in dispute resolution at national arbitration tribunals.
10. Provide legal opinion and advice on the day-to-day business affairs of Johanniter in Somalia.

4. Application and submission of proposals

Proposals should be submitted with the following mandatory documents/requirements:

1. Company/Legal Firm Registration documents
2. Company/Legal firm profile
3. Valid Practicing License
4. Curriculum vitae of partners
5. Tax Registration Certificate
6. At least three references/recommendation letters from INGOs or Corporate Organizations. (provide contact details: Name, tel number & email address).
7. Proven academic & professional qualification of the partners – attach academic & professional certificates

Financial Proposal

1. Monthly retainer of 3 hours per month – (Inclusive of VAT and also disbursement fee)
2. Hourly rate above and beyond the monthly retainer, according to the level of legal aide providing the advice:
   1. Partner
   2. Senior Associate
   3. Associate
   4. Legal Assistant and paralegals

Johanniter International Assistance reserves the right to accept or reject any proposal and to cancel the procurement process at any stage.
